Please read these Terms of Service ("Terms") carefully before using the websites, mobile applications, or services offered by Southwest Style, Inc. and/or DesignStyle USA Inc. (collectively, "we," "us," or "our"). By accessing or using our websites or services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By visiting our website, submitting a form, requesting a quote, or otherwise engaging with our services, you agree to these Terms. These Terms constitute a legally binding agreement between you and us. We reserve the right to modify these Terms at any time, and continued use of our services after any such changes constitutes your acceptance of the updated Terms.

2. Services Description

Southwest Style, Inc. provides home design, style, and improvement products and services in Albuquerque, NM and surrounding areas. DesignStyle USA Inc. offers affiliated design and style services. The specific services available to you depend on your location and the applicable service agreement.

All information on our websites is for informational purposes only. Nothing on our websites constitutes a binding offer, guarantee of availability, or guarantee of pricing, except where expressly stated in a written agreement signed by an authorized representative.

3. Electronic Transactions and Communications

By using our websites and providing your personal information, you consent to engage in electronic transactions with us. This includes the electronic delivery of agreements, disclosures, notices, and communications.

To receive electronic communications, you need: a device capable of accessing the internet; a current web browser; and software capable of opening PDF files (such as Adobe Acrobat Reader). By accessing our site on your device, you confirm that your device meets these requirements.

You may withdraw your consent to electronic transactions by contacting us in writing. Withdrawal of consent may affect your ability to use certain services.

4. Intellectual Property

All content on our websites — including text, graphics, images, logos, design elements, and software — is the property of Southwest Style, Inc., DesignStyle USA Inc., or their respective licensors, and is protected by United States copyright law and international treaties. You may not reproduce, modify, distribute, display, sell, or otherwise use our content for public or commercial purposes without our prior written permission.

5. User Conduct

When using our websites or services, you agree not to:

• Submit false, inaccurate, or misleading information.

• Engage in unauthorized data collection, scraping, or harvesting.

• Send unsolicited commercial email (spam) to addresses found on our websites.

• Upload or transmit viruses, malware, or other harmful code.

• Attempt to gain unauthorized access to our systems or networks.

• Engage in any conduct that violates applicable federal, state, or local law.

6. Consent to Contact

By submitting any form, requesting a quote, or providing your contact information through our websites or services, you expressly provide prior express written consent to be contacted by Southwest Style, Inc. and/or DesignStyle USA Inc. using the information you provided. Consent granted to Southwest Style, Inc. applies only to communications from Southwest Style, Inc.; consent granted to DesignStyle USA Inc. applies only to communications from DesignStyle USA Inc.. We do not share or transfer consent between entities or with third-party lead generators, consistent with FCC one-to-one consent requirements effective January 27, 2026.

Permitted communications include automated, pre-recorded, and AI-assisted phone calls, SMS/MMS text messages, and emails for:

• Responding to your inquiry or service request.

• Providing order updates, scheduling, and appointment reminders.

• Delivering promotional or marketing content related to our products and services.

Consent to receive marketing communications is not a condition of purchase. You may opt out at any time by any reasonable means — including replying STOP to any text, saying 'STOP' during any call, clicking Unsubscribe in any email, or submitting a written or verbal request. Opt-outs will be honored across all automated marketing channels for the relevant company within 10 business days of receipt.

7. AI-Generated and Automated Communications

We may use artificial intelligence (AI) technology to assist in generating or personalizing voice calls, text messages, and emails sent to you. Per the FCC's February 2024 Declaratory Ruling, AI-generated voice calls are classified as artificial or prerecorded voice under the TCPA and require prior express written consent for marketing purposes. Accordingly:

• Any AI-generated or AI-assisted voice call will include a clear disclosure at the outset of the call — before any sales or marketing content — identifying it as automated or AI-assisted.

• You will have the ability to request connection to a live representative at any time during any AI-assisted call.

• AI-generated text messages will disclose AI involvement consistent with applicable FCC guidance.

• Prior express written consent, documented at the time of form submission with date, time, IP address, and form identifier, is required before we initiate any AI-generated marketing voice call or text message.

8. SMS Messaging and A2P 10DLC

We send business text messages (SMS/MMS) using Application-to-Person (A2P) messaging over 10-digit long code (10DLC) phone numbers. Both Southwest Style, Inc. and DesignStyle USA Inc. are independently registered with The Campaign Registry (TCR), as required by all major U.S. wireless carriers. Unregistered A2P traffic is blocked by carriers; our registration ensures compliant message delivery.

By opting in to our SMS program, you agree to receive automated or AI-assisted text messages. Message and data rates may apply. Message frequency varies based on your activity and our service needs. To opt out of any company's messages, reply STOP at any time or use any other reasonable opt-out method. Your opt-out will be applied across all automated marketing channels for that company within 10 business days.

We do not sell, rent, or share your SMS opt-in information or consent data with third parties for marketing purposes. SMS opt-in data is shared only with platform providers and telecommunications carriers for the purpose of message delivery, consistent with carrier A2P 10DLC compliance requirements.

If you change or discontinue use of the mobile number associated with your enrollment, you agree to opt out before doing so. You agree to indemnify us against any claims arising from your failure to notify us of such a change.

9. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. State-specific privacy rights for residents of Colorado, Nevada, New Mexico, Texas, and Arizona are addressed in the Privacy Policy.

10. Third-Party Links and Services

Our websites may contain links to third-party websites or integrate with third-party services. We do not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party site or service. Your interaction with third parties is at your own risk and is governed by those parties' terms and policies.

11. Disclaimers and Limitation of Liability

OUR WEBSITES AND SERVICES ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOUTHWEST STYLE, INC. AND DESIGNSTYLE USA INC. SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR WEBSITES OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

13. State-Specific Compliance

We operate across multiple states and maintain compliance with applicable telemarketing, privacy, and AI laws in each jurisdiction. Key state-specific obligations include:

• Texas — We comply with Texas Business and Commerce Code Chapter 302 (SB140, eff. September 1, 2025). All text communications to Texas residents are based on prior express written consent. Violations of Texas telemarketing law may trigger treble damages under the Texas Deceptive Trade Practices Act. We maintain documented consent records for all Texas consumers.

• Colorado — We comply with the Colorado Privacy Act (CPA) and monitor the Colorado Artificial Intelligence Act (SB 24-205) and its evolving framework. We honor GPC signals for Colorado residents. Colorado residents have full CPA rights including the right to opt out, access, correct, delete, and appeal.

• Nevada — We comply with Nevada Revised Statutes Chapter 603A (SB220). Nevada residents may submit data sale opt-out requests at any time. We do not sell personal information as defined under Nevada law.

• Arizona — We comply with Arizona Revised Statutes Title 44, Chapter 9 telemarketing registration requirements and the Arizona Consumer Fraud Act. All text message solicitations to Arizona residents are based on prior express written consent.

• New Mexico — We comply with the New Mexico Unfair Practices Act and all applicable consumer protection laws.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to your use of our websites or services, or any agreement between you and us, shall be resolved by binding arbitration rather than in court, except as provided below. By agreeing to these Terms, you waive your right to a jury trial.

Arbitration Process

Arbitration shall be conducted by one neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA) or, if unavailable, JAMS. The arbitration shall take place in the county and state in which you reside or where services were primarily rendered. The arbitrator shall apply applicable federal or state substantive law and remedies. Discovery shall be permitted for a period of 90 days after the filing of a responsive pleading, unless extended by the arbitrator.

Class Action Waiver

You agree to bring any claim solely in your individual capacity, and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. If a court finds this class action waiver to be unenforceable, the arbitration provision shall not apply to that claim.

Exceptions

Either party may seek emergency or preliminary injunctive relief in a court of competent jurisdiction solely to prevent irreparable harm. Claims by government agencies on behalf of consumers are not subject to this arbitration provision.

Governing Law

These Terms and any arbitration proceeding are governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) and, where applicable, the laws of the State of New Mexico.

15. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce such provision in the future.

16. Entire Agreement

These Terms, together with our Privacy Policy and Consent to Contact Policy, constitute the entire agreement between you and us with respect to your use of our websites and services, and supersede all prior agreements and understandings.
